CORPORATE POLICY ON CORPORATE SOCIAL RESPONSIBILITY

Viasystems, Group, Inc. and all of its subsidiaries are committed to being good Corporate Citizens. In 2010, Viasystems adopted the Electronic Industry Code of Conduct (EICC) our framework for implementing our social responsibility program. The vision of the creators of the code of conduct is that "through the application of high standards, … companies can create better social, economic, and environmental outcomes for all those involved in the supply chain."

The Code describes four core areas of social responsibility: labor, health and safety, environmental, and ethics. As part of EICC requirements, Viasystems commits to helping ensure that working conditions in its facilities are safe, that workers are treated with respect and dignity, and that manufacturing processes are environmentally responsible. Viasystems achieves these goals, in part, through the implementation of responsible policies and practices that are the benchmark in our industry.

CORPORATE POLICY ON EXPORT COMPLIANCE

Viasystems, Group, Inc. and all of its subsidiaries are committed to conducting business with honesty and integrity, and in full compliance with applicable U.S. laws and regulations that control exports and govern international business activities. As a company that is registered under the International Traffic in Arms Regulations (ITAR), the Management of Viasystems directs every Viasystems employee to understand the basic elements of Export Control laws applicable to their duties and to comply with them at all times. Viasystems’ compliance with these laws is a critical component of our reputation and success.

Viasystems’ policy is to comply with the letter of U.S. laws governing international business transactions, as well as its intent and spirit.

Viasystems expects each of its officers, employees, and agents (“Viasystems Personnel”), wherever located, to adhere to the Company’s commitment to compliance. It is the responsibility of every individual who acts in this arena to have a basic understanding of U.S. defense trade controls applicable to their duties; know the Procedures applicable to your duties; and seek any needed guidance in a timely manner.

All Viasystems Personnel are encouraged to discuss any questions they have concerning these laws and regulations or this Procedure with an Empowered Official or the below.

VIASYSTEMS POLICY ON CONFLICT METALS

To support of the various global conflict metals initiatives while continuing to provide the highest quality products at competitive prices, it is Viasystems’ policy to:

  • Support the improvement of Human Rights in the Democratic Republic of the Congo and surrounding areas
  • Comply with Section 1052 of the Dodd Frank Act
  • Direct our discretionary business, as much as practical, to vendors who:
    • Have traceable supply chains
    • Freely share their data with us, and
    • Source responsibly
  • Support our customers’ enquiries about the source of Conflict Metals that we use in our manufacturing
